| The Government of Ras Al Khaimah has allotted land measuring 2,25,000 Sq. ft. in the heart of Ras Al Khaimah city in the educational zone to Royal College of Applied Science & Technology on a long-term lease of 50 years. Construction for the project has already started as of July 2006 and the new picturesque Royal College of Applied Science & Technology campus will be spread out over 2,00,000 Sq. ft, with separate academic, administrative and hostel buildings. |

| Sudhir Gopi Holdings Inc proposes to establish an internationally reputed university campus at Dubai Academic City, promoted by Government of Dubai with due permissions. It is proposed to construct a 1,00,000 Sq. ft. campus on land to be allotted by the Government.

It is proposed to construct a separate campus for. UEIMS at Ras Al Khaimah, UAE this will be an additional campus of 30,000 Sq.ft for the institute Medical related programs. It would enable UEIMS to affiliate with more medical universities worldwide and offer programs from two different locations in UAE.

| This includes the construction of an academic campus at Montserrat, British West Indies on land acquired from the Government of Montserrat. Additionally, the reconstruction and renovation of the Community College Buildings allotted to Sudhir Gopi Holdings Inc by the Government of Montserrat also involves investments. The launch of the University will entail huge costs in terms of setting up of academic departments, developing course curriculum and materials, online systems, obtaining affiliations, entering into collaboration agreements and signing up clinical attachments, and establishment of back office operations. Since the University is planning for an international presence, sizeable amount towards initial advertisements and publicity costs will also have to be earmarked.

| PROPOSED PROJECTS UNDER NEGOTIATION |

Three more additional projects are under discussion and negotiation. They involve international campuses of three reputed universities / institutions worldwide including a reputed Fashion School and Business School from India and also one of the largest universities in Asia. The discussions are at a final stage. It would require development of separate campuses in Dubai and Ras Al Khaimah, UAE in the year 2007 to 2008.
